These terms are an agreement between AgentivX Solutions, LLC, a Maryland limited liability company (“AgentivX,” “we,” “us”), and you. They cover your use of Nia, the AI executive-partner product built by AgentivX. By creating an account or using Nia, you agree to them. If you are using Nia on behalf of a business, you are confirming you have the authority to agree to these terms for that business.
What Nia is
Nia is an AI assistant that talks with you by voice or text, keeps notes and memories you control, works inside your own Google Calendar and Sheets with your explicit approval, drafts content and document reviews, and logs expenses you show her. She is a tool that prepares drafts and information for you to review; she is not a lawyer, accountant, doctor, or financial advisor, and nothing she produces is professional advice. You are responsible for reviewing and approving anything before it takes effect, and for decisions you make based on what she tells you.
Accounts
You sign in with your Google account. You are responsible for keeping that sign-in secure and for activity on your Nia account. Tell us right away at [email protected] if you believe your account has been accessed without your permission.
You must be at least 18 years old to use Nia.
Plans, trial, and billing
New accounts get a 14-day free trial with full access. After the trial, continued use requires an active paid plan: Nia Partner ($149/month), Nia Executive ($299/month), or Nia Managed ($899/month), billed monthly through Stripe. Feature differences between plans are shown on the pricing page at the time you subscribe.
Subscriptions renew automatically each month until you cancel. You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period, and we do not provide refunds for partial months except where required by law.
We may change prices going forward. If we do, we will tell you before it applies to your next billing cycle.
Acceptable use
Use Nia for your own legitimate business and personal work. Do not: use Nia for anything illegal; try to bypass the approval step before a calendar, spreadsheet, or other external action; attempt to access another user’s account or data; or reverse-engineer, scrape, or resell the service without our written permission.
We may suspend or terminate an account that violates these terms or that we reasonably believe is being used to abuse the service or another person.
Your content
You keep ownership of everything you put into Nia: your calendar data, memories, drafts, and documents. You give us only the limited right to process and store it as needed to provide the service to you, described in our Privacy Policy.
Google Workspace and other services
Nia connects to Google Calendar, Google Sheets, and other services on your behalf, subject to your own agreements with those providers. We are not responsible for outages, changes, or actions taken by Google or our other providers that are outside our control.
Nia is provided “as is”
Nia is an AI system and can make mistakes, misread a document, or misunderstand a request. We work to make her reliable, but we do not guarantee she will always be available, accurate, or error-free. Review anything Nia drafts before you rely on it or approve it.
To the fullest extent the law allows, Nia is provided without warranties of any kind, and AgentivX is not liable for indirect, incidental, or consequential damages arising from your use of the service. Our total liability for any claim relating to Nia is limited to the amount you paid us in the three months before the claim arose.
Ending your account
You can delete your account at any time from Settings, which permanently deletes your data as described in our Privacy Policy. We may suspend or end an account for violating these terms, non-payment, or if we stop offering Nia, and we will give you reasonable notice where practical.
Changes to these terms
We may update these terms as Nia changes. We will post the update here and change the date at the top of this page; if a change is material, we will make a reasonable effort to notify you directly. Continuing to use Nia after a change means you accept the update.
Governing law
These terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles. Any dispute arising from these terms or your use of Nia will be brought in the state or federal courts located in Maryland.
